Quotations & Pricing
- All formal quotations provided by CEYLON SUNA are valid for 30 calendar days from the date of issue, unless stated otherwise in writing.
- Industrial material prices (including raw charcoal and Battery-Grade Hard Carbon) are subject to adjustment based on market fluctuations, raw material availability and export tariffs prior to final order confirmation.

Orders & Acceptance
- An order is considered officially accepted only after CEYLON SUNA issues a Proforma Invoice (PI) and receives the agreed advance payment or a confirmed Letter of Credit (L/C).
- Minimum Order Quantities (MOQs) apply to bulk products such as Suna-Charcoal and Suna-Carb as specified in the official proposal.

Payment Terms
- Local Orders: Payments must be made via direct Bank Transfer / Telegraphic Transfer (T/T).
- Export Orders: Standard terms include T/T (30%–50% advance payment upon order confirmation, with the balance due upon presentation of shipping documents/Bill of Lading) or an Irrevocable L/C at Sight issued by a Tier-1 international bank.
- All international transactions are quoted and processed in USD (or EUR upon mutual agreement).

Delivery & Shipping
- International shipments are governed by standard Incoterms 2020 (such as FOB Colombo, CIF, or CFR, as defined in the contract).
- Estimated shipment lead times are provided upon order confirmation. CEYLON SUNA is not liable for shipping delays resulting from ocean freight congestion, destination port customs holds, or third-party carrier issues.

Product Quality & Inspection
- Products will comply with the technical parameters specified in the agreed Certificate of Analysis (COA) and Product Specification Sheet.
- Buyers retain the right to request a third-party pre-shipment inspection (e.g., SGS or Intertek) at the port of loading at their own expense.

Claims, Cancellations & Returns
- Orders cannot be canceled once production has commenced or shipping arrangements have been finalized.
- Any quality disparity or shipping damage claims must be submitted in writing within 14 days of receiving the shipment, supported by lab test reports or visual evidence.

Taxes & Import Duties
- The buyer is solely responsible for all import duties, tariffs, local taxes, port handling fees, and customs clearance expenses in the destination country.

Force Majeure
- CEYLON SUNA shall not be held liable for any failure or delay in fulfilling obligations if such delay is caused by events beyond reasonable control, including natural disasters, war, trade embargoes, raw material shortages, port strikes, or government restrictions.
